These Terms of Service (“Terms”) govern your access to and use of autima.ai and the products and services provided by Autima (“Autima,” “we,” “us,” or “our”) (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least the age of majority in your jurisdiction and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Accounts
If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use.
3. Acceptable Use
You agree not to misuse the Service. This includes, without limitation, attempting to access the Service in an unauthorized manner, interfering with its operation, uploading malicious code, infringing the rights of others, or using the Service for any unlawful purpose.
4. Intellectual Property
The Service, including its content, features, and underlying technology, is owned by Autima and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
5. Customer Content
You retain ownership of the content and data you submit to the Service. You grant us a limited license to host, process, and use that content solely as necessary to provide and improve the Service. You are responsible for ensuring you have the rights necessary to provide such content.
6. Third-Party Links and Services
The Service may contain links to third-party websites or integrate with third-party services that we do not control. We are not responsible for the content, policies, or practices of any third party, and your use of them is at your own risk.
7. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
8. Limitation of Liability
To the fullest extent permitted by law, Autima and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the amounts you paid to us for the Service in the twelve months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Autima and its affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Service or your violation of these Terms.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if necessary to protect the Service or other users. Upon termination, the provisions that by their nature should survive will continue to apply.
11. Governing Law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in Alberta, Canada.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
